Acceptance of Terms

By accessing or using EdgeTools services, you agree to be bound by these Terms of Service (General Terms and Conditions / AGB). If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and EdgeTools (André Fritzsche, Schützenstrasse 40, CH-8953 Dietikon, Switzerland). Your use of our services signifies your acceptance of all terms and conditions set forth herein.

Purchase Confirmation: When purchasing products or subscriptions, you are required to explicitly confirm your acceptance of these Terms of Service during the checkout process. By completing a purchase, you acknowledge that you have read, understood, and agreed to these terms in their entirety.

Scope and Applicability

These terms apply to all uses of EdgeTools services, including:

• Access to and use of the EdgeTools website (edgetools.org)
• Purchase and use of trading models and indicators
• Custom services and model customization
• All related documentation and support services

Service Description

EdgeTools provides quantitative trading models and indicators for financial markets. Our services include:

• Trading indicators and models for TradingView (subscription-based access)
• Educational content and documentation
• Customer support and technical assistance
• Research and methodology publications
• Custom model development and customization services

Subscription License Model

Subscription Terms: EdgeTools indicators and models are provided under a subscription-based license. By purchasing a subscription, you receive:

• Duration: Access for the subscribed period (monthly, quarterly, or annual)
• Personal Use: License is granted to the individual subscriber only
• Single User: One subscription per person, non-transferable
• Platform Access: Access via TradingView platform with your personal account
• Updates: Access to model updates during active subscription period
• Support: Technical support during active subscription

Subscription Renewal:

• Subscriptions may auto-renew unless cancelled before renewal date
• Cancellation must be made through your LemonSqueezy account or customer portal
• Access continues until the end of the paid subscription period
• No pro-rata refunds for partial subscription periods

License Restrictions: The subscription license does NOT permit redistribution, sharing, reselling, reverse engineering, or any commercial exploitation beyond personal trading use.

Permitted Use

EdgeTools models and indicators may be used exclusively for:

• Personal trading analysis and decision support
• Educational purposes and research
• Professional trading activities by licensed users
• Integration into personal trading workflows

Prohibited Use

The following uses are strictly prohibited:

• Redistribution: Sharing, distributing, or transferring models to third parties
• Repackaging: Incorporating EdgeTools models into other products or services
• Reselling: Commercial resale or sublicensing of models
• Reverse Engineering: Decompiling, disassembling, or attempting to extract source code
• Modification: Altering, adapting, or creating derivative works without permission
• Commercial Exploitation: Using models for commercial purposes beyond personal trading
• Competitive Use: Using models to develop competing products or services
• Unauthorized Access: Attempting to access restricted areas or bypass security measures

Violation of these prohibitions constitutes breach of contract and may result in immediate termination of access, legal action, and claims for damages.

User Obligations

By using our services, you agree to:

• Use services only for lawful purposes
• Respect all intellectual property rights
• Provide accurate information when contacting us
• Comply with all applicable laws and regulations
• Maintain confidentiality of any access credentials
• Notify us immediately of any unauthorized use

Intellectual Property

All models, indicators, publications, research reports, Pine Script code, and the entire source code are protected by copyright and other intellectual property laws. All intellectual property rights belong exclusively to EdgeTools (André Fritzsche).

You may not:

• Copy, modify, or distribute our proprietary content
• Create derivative works without explicit written permission
• Remove copyright or proprietary notices
• Use our trademarks, trade names, or branding without authorization
• Reverse engineer, decompile, or disassemble our models
• Publicly display or perform our content without license

Any unauthorized use constitutes copyright infringement and may result in legal action and claims for damages.

Warranties and Disclaimers

No Warranties: EdgeTools services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, completeness, or reliability
• Warranties of uninterrupted or error-free operation
• Warranties that models will generate profits or prevent losses
• Warranties regarding third-party data quality or availability

Users acknowledge that trading involves substantial risk and that all models are subject to limitations, errors, and market regime changes.

Data Sources and Quality

Third-Party Data: EdgeTools obtains data from third-party providers. Data delays, inaccuracies, interruptions, or errors may occur. There is no claim or guarantee of correct, complete, or current data.

Users acknowledge that:

• Data feeds may experience delays, interruptions, or temporary unavailability
• Third-party providers may revise or correct historical data
• Data quality and coverage vary by market and instrument
• EdgeTools is not responsible for third-party data errors or omissions
• Model outputs depend on data quality and may be affected by data issues

EdgeTools makes no representations or warranties regarding data accuracy and is not liable for losses resulting from data errors or delays.

Payment Terms

Payment Processing:

• All payments are processed through LemonSqueezy (with Stripe backend)
• Payment is due at the time of purchase
• Prices are displayed in CHF (Swiss Francs) unless otherwise stated
• You are responsible for any applicable taxes, duties, or fees
• EdgeTools does not store credit card information directly

Custom Services Payment Terms:

• 50% advance payment upon order confirmation (non-refundable after development begins)
• 50% balance payment upon completion and delivery
• 30-day technical support included with all customizations

VAT Information:

• EdgeTools is not VAT registered (annual turnover below CHF 100,000)
• All displayed prices are final prices without VAT
• No VAT is charged or shown on invoices

Right of Withdrawal (Widerrufsrecht):

Under Swiss consumer protection law (OR Art. 40a-40l), you have a 14-day right of withdrawal for distance contracts. However, this right expires immediately for digital content when you:

• Access or download the digital product (indicators, models, code)
• Receive access credentials to subscription services
• Explicitly consent to immediate access (confirmed during checkout)

Important: By purchasing and accessing EdgeTools indicators, you explicitly agree to immediate performance and acknowledge that your right of withdrawal expires upon first access.

Refund Policy (Goodwill):

• While the right of withdrawal expires upon access, goodwill refunds may be considered
• Refund requests must be submitted within 14 days of purchase
• Technical issues preventing proper use may qualify for refunds
• Custom development work is non-refundable after development begins
• Subscription fees are non-refundable for partial periods
• Final refund decisions are at EdgeTools' sole discretion

Service Availability and No Uptime Guarantee

No Guarantee of Availability: There is no claim or guarantee of uninterrupted access, technical availability, or functional error-free operation of the services.

EdgeTools reserves the right to:

• Modify, suspend, or discontinue services at any time
• Perform maintenance without prior notice
• Update or change models and indicators
• Limit access to certain features or users
• Terminate services with reasonable notice

Service Interruptions: Services may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Technical issues or system failures
• Third-party platform dependencies
• Network or infrastructure problems
• Force majeure events

Users have no claim to compensation, refunds, or damages resulting from service unavailability, interruptions, or modifications.

Limitation of Liability

To the fullest extent permitted by Swiss law, any liability for damages, losses, or lost profits arising from the use or non-use of the data, indicators, or models provided is completely excluded.

EdgeTools, its owner, employees, and affiliates shall not be liable for:

• Trading Losses: Any trading losses, investment losses, or financial damages
• Model Errors: Errors in models, signals, calculations, or interpretations
• Data Issues: Data inaccuracies, delays, interruptions, or third-party data errors
• Service Interruptions: Unavailability, downtime, or technical failures
• Lost Profits: Loss of profits, revenue, business opportunities, or savings
• Consequential Damages: Indirect, consequential, incidental, or punitive damages
• Third-Party Issues: Problems with third-party platforms (e.g., TradingView)
• User Errors: Misinterpretation, misuse, or incorrect application of models

Maximum Liability: In cases where liability cannot be excluded by law, EdgeTools' total liability is limited to the amount paid by the user for the specific service in question, not to exceed CHF 1,000 in any event.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and regardless of whether EdgeTools was advised of the possibility of such damages.

No Financial Services or Regulated Activities

Regulatory Distinction: EdgeTools does NOT provide any of the following regulated activities under Swiss FIDLEG/FINIG or other applicable financial regulations:

• Asset management or portfolio management
• Investment advisory services
• Portfolio analysis or evaluation services
• Creation of personalized investment recommendations
• Financial intermediation services
• Execution of trades or orders
• Custody or safekeeping of assets

Our models and indicators are analytical tools for experienced market participants. All investment decisions and their consequences remain solely the responsibility of the user. Users should consult with licensed financial advisors for personalized investment advice.

Indemnification

You agree to indemnify, defend, and hold harmless EdgeTools, its owner (André Fritzsche), employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of EdgeTools services
• Your violation of these Terms of Service
• Your violation of any third-party rights
• Your trading activities and investment decisions
• Any false or misleading information you provide

This indemnification obligation survives termination of your use of EdgeTools services.

Termination

We may terminate or suspend your access to our services at any time, with or without notice, for any reason including violation of these terms.

Governing Law and Jurisdiction

Applicable Law: These Terms of Service and all related agreements are governed exclusively by the substantive laws of Switzerland, excluding conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is Dietikon or Zurich, Switzerland. EdgeTools reserves the right to bring legal action in the jurisdiction of the user's domicile.

Language: The English version of these terms is the authoritative version. Translations are provided for convenience only and do not override the English version in case of discrepancies.

Alternative Dispute Resolution

Informal Resolution: Before pursuing formal legal action, we encourage customers to contact us directly via our contact form to resolve any disputes amicably.

Swiss Ombudsman: For consumer disputes, you may contact the Swiss Ombudsman for E-Commerce or other relevant consumer protection organizations in Switzerland.

EU Online Dispute Resolution (ODR): For customers in the European Union, the European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. However, EdgeTools is not obligated to participate in dispute resolution procedures before consumer arbitration boards.

Limitation: EdgeTools participates in alternative dispute resolution procedures on a voluntary basis only and reserves the right to decline participation in specific cases.

Changes to Terms

EdgeTools reserves the right to modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting on the website.

User Responsibility: It is your responsibility to review these terms periodically. Your continued use of EdgeTools services after any changes constitutes acceptance of the modified terms.

If you do not agree with the modified terms, you must discontinue use of all EdgeTools services immediately.

Severability and Entire Agreement

Severability: If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Entire Agreement: These Terms of Service, together with the Privacy Policy, Disclaimer, and Impressum, constitute the entire agreement between you and EdgeTools regarding the use of our services and supersede all prior or contemporaneous communications and proposals.

No Waiver: The failure of EdgeTools to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
